Chapter I General Provisions
Article 1 The name of the Association is Jieyang Jueshi Charitable Welfare Association.
Article 2 The Association is a non-profit social organization legal person composed of people and organizations from all walks of life who volunteer to provide voluntary services to the society.
Article 3 The purpose of the Association is to abide by national laws, regulations and policies, abide by social ethics, carry out work with the purpose of "serving the society and contributing to love", advocate the spirit of "participation, mutual assistance, dedication and progress", organize members to carry out charity activities, provide voluntary services for the society, and make contributions to the coordinated development and overall progress of the society.
Article 4 The registration administration authority of the Association is Jieyang Municipal Civil Affairs Bureau, and the competent business unit of the Association is the office of Jieyang Municipal Commission on Aging. The Association accepts the supervision, administration and guidance services provided by the registration administration authority, the competent business unit, the industry administration department and other departments within the scope of their functions and powers according to law.
Article 5 The Association may establish branches and representative offices according to work needs. The branches and representative offices of the Association are an integral part of the Association and do not have the legal person status. They are not allowed to formulate separate articles of association, develop members and carry out activities within the scope of authorization, and the legal responsibility shall be borne by the Association.
Article 6 The domicile of the Association is located in Jueshi Charity Building, No. 6, Shitou, Meiyun Street, Rongcheng District, Jieyang, Guangdong Province.
Chapter II Business Scope and Activity Principles
Article 7 The business scope of the Association:
(1) Organize and participate in various social public welfare undertakings, take "orphans, widows, disabled and weak" and other individuals and social service institutions with special difficulties and in need of help as the service objects, carry out "poverty alleviation, disaster relief, learning, helping orphans and disabled" and other love activities, and provide help within our capacity;
(2) Receive donations from all walks of life, manage them in a unified way, and earmark them for specific purposes according to the wishes of the donors (units).
Article 8 The principles of activities of the Association:
(1) The corporate governance of social organizations shall comply with the provisions of relevant national laws and regulations;
(2) The Association shall carry out non-profit activities in accordance with the Articles of Association approved by the registration administration authority, and shall not engage in commodity sales. The funds shall be used for the business scope specified in the Articles of Association, and shall not be distributed among members and responsible persons;
(3) The Association has established a mutual supervision mechanism among decision-making bodies, executive bodies and supervisory bodies to implement democratic election, democratic decision-making and democratic supervision;
(4) When conducting business activities, the Association shall follow the principles of honesty, trustworthiness, fairness and fairness, and shall not practice fraud or damage the interests of the country, the Association and its members;
(5) The Association follows the principle of scientific organization and does not engage in feudal superstition propaganda and activities;
Chapter III Members
Article 9 The Association is composed of individual members.
Article 10 Anyone who applies to join the Association shall support the Articles of Association of the Association and have the intention to join the Association.
Individual members shall meet the following conditions:
(1) Acknowledge and abide by the Articles of Association of the Association;
(2) Volunteer to join the Association for volunteer service;
(3) Voluntary dedication, not for any material reward, with a certain amount of love and action;
(4) At least 18 years old, with full civil capacity.
Article 11 The membership procedures are as follows:
(1) Submit the application for membership;
(2) After discussion and adoption by the Council;
(3) A membership card shall be issued by the Council or an institution authorized by the Council;
(4) Promptly make an announcement on the website and newsletter of the Association.
Article 12 The Association shall establish a register of all members, and specify the positions of members, directors, supervisors, and the president, vice president, chief supervisor, secretary general and other responsible persons as sufficient evidence to prove their qualifications. In case of any change in membership, the roster shall be revised and announced in a timely manner.
Article 13 Members shall enjoy the following rights:
(1) The right to vote, stand for election and vote of the Association;
(2) The right to participate in the activities of the Association;
(3) Obtain the priority of our services;
(4) The right to join voluntarily and withdraw freely;
(5) The right to know about the Articles of Association, register of members, meeting minutes, meeting resolutions, financial audit reports, etc;
(6) Criticism, suggestion and supervision.
Article 14 Members shall perform the following obligations:
(1) Comply with the Articles of Association of the Association;
(2) Implement the resolutions of the Association;
(3) To safeguard the legitimate rights and interests of the Association;
(4) Complete the work assigned by the Association;
(5) Report the situation to the Association and provide relevant information;
(6) Pay membership dues as required.
Article 15 A member who withdraws from the Association shall notify the Association in writing and return his membership card. If a member fails to perform his/her obligations for more than one year, he/she may be deemed to have withdrawn automatically.
Article 16 In any of the following circumstances, the membership of a member shall be terminated:
(1) Those who apply for withdrawal;
(2) Those who do not meet the membership conditions of the Association;
(3) Seriously violates the Articles of Association and relevant provisions of the Association, causing significant reputation loss and economic loss to the Association;
(4) The license is revoked by the registration administration department;
(5) Being subject to criminal punishment;
In case of termination of membership, the Association will withdraw its membership card and update the membership list on the website and newsletter of the Association in a timely manner.
Article 17 If a member seriously violates the Articles of Association, his membership may be suspended or his name may be removed after the Council votes. After a member withdraws from the association, is suspended from membership or is expelled from the association, his/her corresponding duties, rights and obligations in the association will automatically terminate.
Chapter IV Organizational Structure
Article 18 The Association shall run its meetings democratically. The formation of leading bodies and decisions on major issues must be adopted through democratic voting, and decisions shall be made in accordance with the principle that the minority is subordinate to the majority.
Article 19 The responsible person of the Association refers to one president, several vice presidents and the secretary general.
Article 20 The responsible person of the Association shall abide by the provisions of laws, regulations and the Articles of Association, faithfully perform their duties, safeguard the rights and interests of the Association, and abide by the following code of conduct:
(1) Exercising rights within the scope of their duties without overstepping their powers;
(2) They shall not take advantage of their power to seek illegitimate interests for themselves or others;
(3) Do not engage in activities that damage the interests of the Association;
(4) Staff members of state organs or retired (retired) cadres (including leadership and honorary positions, executive directors, directors, supervisors, etc.) can take part-time jobs only after approval or filing according to the cadre management authority.
Article 21 The highest authority of the Association is the General Assembly of Members. The term of office of the General Assembly is five years. The General Assembly of Member Representatives shall be held at least once a year, and in case of special circumstances, the Council shall decide to hold it at any time.
Article 22 The functions and powers of the member congress are as follows:
(1) Formulate and amend the Articles of Association;
(2) Formulate and revise the membership fee standard;
(3) Formulate and revise the election methods;
(4) Elect or remove directors, chief supervisors and supervisors;
(5) Review the work reports and financial reports of the Board of Directors and the Board of Supervisors;
(6) To review the annual financial budget and final accounts of the Council;
(7) Make resolutions on such matters as the change of the name of the Association, the change of major matters, the termination, dissolution and liquidation of the Association;
(8) Changing or revoking inappropriate decisions of the Council;
Article 23 The general meeting of member representatives can be convened only when more than 2/3 of the members' representatives are present, and its resolution shall take effect after being approved by more than half of the members' representatives present. The amendment of the Articles of Association, dissolution of the organization and other major issues must be approved by more than 2/3 of the member representatives attending the meeting.
Article 24 A member representative may entrust another member representative in writing to attend the meeting as his/her proxy. The proxy shall submit the written power of attorney to the Secretariat of the Association for filing before the member representative meeting, and exercise his/her voting rights within the scope of authorization.
Article 25 The time, place and topic of the general meeting shall be notified to the members' representatives 5 days in advance when the Association convenes the general meeting.
Article 26 The members' congress elects the directors to form the council. The Council is the executive body of the Association, responsible for leading the daily work of the Association and responsible for the member congress. The term of office of the Council is five years. The number of directors is 30% of the member representatives.
Article 27 The board of directors shall convene a general assembly of members for general election at the expiration of the term. If the term of office cannot be changed on time due to special circumstances, it shall be approved by the Council of the Association and applied to the registration administration authority. The term of office can be changed in advance after the registration administration authority reviews it. In case of special circumstances, the Council may convene an interim congress of members if it deems it necessary or more than one fifth of the members propose.
Article 28 The directors of the Association shall meet the following conditions:
(1) Acknowledge and abide by the Articles of Association of the Association;
(2) Volunteer to join the Association for volunteer service;
(3) Voluntary dedication, not for any material reward, with a certain amount of love and action;
(4) At least 18 years old, with full civil capacity.
Article 29 The representative of the director of the unit shall be the main person in charge of the unit. If a unit adjusts its director representative, it shall notify the Association in writing and report to the Council or the Standing Council for the record. If the director is also a standing director, it shall be adjusted at the same time.
Article 30 The functions and powers of the Council are:
(1) Convening member representative meetings;
(2) To formulate the method for the selection and quota allocation of member representatives;
(3) Submit work reports and financial reports to the member congress;
(4) Implement the resolutions of the General Assembly of Members;
(5) Elect and remove the executive director, president, vice president, secretary-general and other responsible persons; (6) Decide on the recruitment or expulsion of members;
(7) Formulate internal management system, formulate annual financial budget and final accounts, and lead all organizations of the group to carry out work;
(8) Vote on the establishment, change and termination of internal institutions, branches and representative offices;
(9) Review the work report of the Secretary General and inspect the work of the Secretary General;
(10) Vote on the appointment and removal of the Deputy Secretary General and the principal heads of the agencies;
(11) Vote on the employment and dismissal of staff in various institutions.
Article 31 The Council shall hold two meetings every year, which may be held at any time in special circumstances. Additional directors shall be elected by the member congress. Under special circumstances, the board of directors may hold a by election, but the by election of directors must be confirmed by the next member congress.
Article 32 The meeting of the Board of Directors shall be convened and presided over by the President. If the President is unable to attend the meeting for some reason, the Vice President or Secretary General authorized by the President shall preside over the meeting. When convening a board meeting, the president or convener shall notify all directors 3 days in advance and inform them of the meeting topics. Council meetings shall be attended by the directors themselves. If a director is unable to attend for some reason, he/she must entrust another director in writing to attend on his/her behalf, and the power of attorney shall specify the matters authorized.
Under any of the following circumstances, the President shall convene an interim meeting of the Board of Directors within 5 working days: (1) when the President deems it necessary; (2) When more than one third of the directors propose jointly; (3) When proposed by the supervisor. When more than one third of the directors jointly propose to convene an interim meeting of the Council, a proposal letter signed by all the joint directors shall be submitted. When supervisors propose to convene an interim meeting of the Board of Directors, they shall submit a proposal letter signed by more than half of the supervisors. The proposer who proposes to convene an interim meeting of the Council shall put forward the reasons and topics.
Article 33 The meeting minutes of the board of directors shall be kept. The directors present at the meeting shall verify the minutes of the meeting and sign on the minutes. The directors present at the meeting have the right to request an explanatory record of their speech at the meeting in the record.
Article 34 The meeting of the Board of Directors can be convened only when more than 2/3 of the directors are present; The resolution of the Board of Directors shall be valid only after being approved by more than 2/3 of the directors present.
Article 35 The members' representative meeting, the board of directors and the board of supervisors of the Association shall vote democratically. The election of directors, chief supervisors, supervisors and responsible persons shall be conducted by secret ballot.
Minutes shall be prepared for the above meetings, and if resolutions are formed, minutes and resolutions shall be prepared. The resolutions of the Board of Directors and the Board of Supervisors shall be reviewed and signed by the directors and supervisors present at the meeting. Members have the right to consult the Articles of Association, rules and regulations, resolutions, minutes and financial reports of the Association.
Article 36 The President of the Association is the legal representative. The legal representative of the Association shall not act as the legal representative of other social organizations at the same time. The legal representative shall be a resident of mainland China.
Article 37 If it is necessary for the President of the Association, i.e. the legal representative, to make a decision, but the legal representative is unable to perform his duties due to special reasons, the Council shall make a decision and form a resolution in accordance with the principle of the majority subordinate to the minority.
Article 38 The responsible person of the Association shall meet the following requirements:
(1) Adhere to the Party's line, principles and policies;
(2) It is recognized in the industry that it has rich professional knowledge, good organizational leadership and coordination ability, and good social credit;
(3) It has great influence and high reputation in the business field of the Association;
(4) The maximum working age is generally not more than 70 years old, healthy and able to work normally;
(5) Not subjected to criminal punishment of deprivation of political rights;
(6) Having full civil capacity;
(7) Be able to perform duties diligently and safeguard the legitimate rights and interests of the Association and its members;
(8) Other circumstances under which he/she is not allowed to assume the post without laws, regulations, rules and policies.
Article 39 The term of office of the person in charge of the Association shall be the same as that of the Council. The president and legal representative shall not be re elected for more than two consecutive terms. Those who need to continue to serve consecutive terms due to special circumstances must adopt the method of differential election. They can take office only after being voted by the member congress and approved by the registration administration organ for the record.
Article 40 The President of the Association shall exercise the following functions and powers:
(1) Convene and preside over the Council;
(2) Check the implementation of resolutions of various meetings;
(3) To lead the work of the Council;
(4) Sign important documents on behalf of the Association;
Article 41 The Secretary General shall work under the leadership of the Council and exercise the following functions and powers:
(1) Preside over the daily work of the internal institutions;
(2) Nominate the Deputy Secretary General and the main heads of the internal organs and entities, and submit them to the Council for decision;
(3) Propose the appointment and dismissal of full-time staff and submit it to the Council for decision;
(4) Draw up annual work reports and plans and submit them to the Council for deliberation;
(5) To formulate internal management rules and regulations and submit them to the Council for approval;
(6) Draw up annual financial budget and final accounts reports and submit them to the Council for deliberation;
(7) Coordinate the work of all branches, representative offices and entities;
(8) Handle other daily affairs.
Article 42 The Association shall have a board of supervisors, which shall be elected by the members' congress. The Board of Supervisors shall have one chief supervisor and several supervisors. The term of office of the Board of Supervisors shall be the same as that of the Board of Directors, and the Board of Supervisors may serve consecutive terms, but no more than two terms.
Supervisors shall be elected from the members. The person in charge, director, secretary general, deputy secretary general and financial personnel of the Association shall not concurrently serve as supervisors.
Article 43 The Board of Supervisors shall exercise the following functions and powers:
(1) Attend the Board of Directors as nonvoting delegates and raise questions or suggestions on matters to be resolved by the Board of Directors;
(2) Supervise the directors' performance of their duties in the Association, and propose to remove the responsible persons and directors who violate laws and regulations, the Association's Articles of Association or the resolutions of the General Assembly of Members in accordance with procedures;
(3) To inspect the financial reports of the Association, report the work of supervisors and make suggestions to the general meeting of members;
(4) Timely rectify the behaviors of responsible persons, directors and financial personnel that damage the interests of the Association;
(5) Report the problems existing in the work of the Association to the competent business units, registration administration authorities, tax and accounting authorities and other relevant departments;
(6) Decide on other matters to be considered by the Board of Supervisors.
Article 44 The board of supervisors shall hold at least one meeting every six months. The meeting of supervisors can be convened only when more than 2/3 of the supervisors are present, and its resolution is valid only when it is approved by more than half of all supervisors.
The resolutions of the Board of Supervisors shall be recorded, and the supervisors and recorder attending the meeting shall sign on the minutes. The supervisor may request to make some explanatory notes on his speech at the meeting in the minutes of the meeting. The decisions, resolutions and meeting minutes of the Board of Supervisors shall be properly kept and disclosed to all members.
Article 45 The Association shall set up a daily office secretariat to handle the daily affairs of the Association
